Effective Date: October 20, 2025
These Partner Terms and Conditions (“Agreement”) establish the framework for a strategic partnership between GreatLight Precision CNC Machining Co., Ltd. (“GreatLight”) and the agreed-upon third-party (“Partner”).
1. Nature of Relationship. Partner is an independent entity and not an agent, employee, or legal representative of GreatLight for any purpose. This Agreement does not create a joint venture or partnership.
2. Partner Responsibilities.
- 2.1. Partner will use commercially reasonable efforts to promote GreatLight’s CNC machining and rapid prototyping services to potential clients.
- 2.2. Partner shall not make any warranties, representations, or commitments on behalf of GreatLight unless expressly authorized in writing.
- 2.3. Partner must comply with all applicable laws and regulations in its performance under this Agreement.
3. GreatLight Responsibilities.
- 3.1. GreatLight will provide Partner with necessary marketing materials and technical information.
- 3.2. GreatLight remains solely responsible for the execution, quality control, and delivery of all customer orders.
4. Confidentiality. Both parties agree to hold each other’s confidential information in strict confidence and not to use or disclose it except as necessary to perform under this Agreement.
5. Term & Termination. This Agreement is effective upon signing and continues for one (1) year, automatically renewing for successive one-year periods unless terminated by either party with 60 days’ written notice. Either party may terminate for material breach with 30 days’ written notice to cure.
6. No Exclusive Rights. Partner acknowledges that GreatLight reserves the right to directly market its services and appoint other partners.
