These Supplier Terms (“Terms”) govern the provision of precision CNC machining parts and services by GreatLight Precision CNC Machining Co., Ltd. (“GreatLight,” “we,” “us,” or “our”) to our business customers (“Buyer,” “you,” or “your”).
1. Agreement Structure. Any purchase order (“PO”) issued by you and accepted by us forms a separate contract under these Terms. In case of conflict, the terms of the accepted PO shall prevail only if explicitly stated.
2. Quotations & Orders. Quotations are valid for 30 days. Orders are binding only upon our written acceptance. You are responsible for the accuracy of all specifications, drawings, and data provided with your order.
3. Pricing & Payment.
- 3.1. Prices are as quoted and confirmed in the PO. We reserve the right to adjust prices prior to order acceptance to reflect changes in raw material costs, currency fluctuations, or your change requests.
- 3.2. Payment terms are 50% deposit upon order confirmation, with the remaining 50% due prior to shipment. Delayed payments may result in order suspension and accrue interest at 1.5% per month.
4. Delivery & Shipping.
- 4.1. Lead times are estimates and not guaranteed. Time is not of the essence. We are not liable for delays caused by force majeure events or your actions.
- 4.2. Delivery terms are FOB Shenzhen, China (Incoterms 2020) unless otherwise agreed. Title and risk of loss pass to you upon delivery to the carrier.
5. Quality & Inspection.
- 5.1. Our parts are manufactured to a standard tolerance of ±0.01mm and comply with our ISO 9001:2015 quality system.
- 5.2. You must inspect goods within 7 days of receipt. Claims for defects must be submitted in writing within this period, accompanied by supporting evidence. Our sole obligation is, at our discretion, to repair or replace defective parts.
6. Intellectual Property. All designs, drawings, and technical information you provide remain your property. We acquire no rights and will use them solely to fulfill your order. All our manufacturing processes, know-how, and pre-existing IP remain our sole property.
7. Limitation of Liability. Our total liability to you for any claim shall not exceed the total price of the specific order from which the claim arose. We shall not be liable for any indirect, special, or consequential damages.
8. Termination. Either party may terminate an accepted PO if the other party is in material breach and fails to cure such breach within 30 days of written notice.
